These Terms of Service (“Terms”) govern your access to and use of the website located at https://www.palmyield.com/ (the “Site”), the associated mobile application(s), and any related services, features, content, or applications offered by PalmYield (collectively, the “Services”).

The Services are operated by PalmYield (“PalmYield,” “we,” “us,” or “our”). Specific legal entity details, registered address, and contact information will be provided on the Site or in the app. References to PalmYield include its affiliates, partners, storage providers, and service providers as applicable.

PalmYield is a commodity investment platform focused primarily on palm oil and related assets. Through the Services, eligible users may:

• Purchase palm oil (typically denominated in litres or equivalent units) at prevailing market or platform-displayed prices.
• Hold purchased quantities in a digital reserve that tracks real-time or periodic market pricing.
• Access related investment products such as farmland investments or supply-chain/asset participations (with stated durations and expected return ranges where applicable).
• Monitor holdings, historical data, and estimated values.
• Sell, redeem, or withdraw according to platform rules and available liquidity.
• Participate in affiliate/agent or merchant programs where offered.
• Other officially updated services.

All holdings are described as asset-backed, with claims relating to physical palm oil or related assets held with verified storage partners. Insurance, audits, and security measures are as described on the Site from time to time. Actual physical delivery, storage conditions, and insurance details are subject to the specific product terms and partner arrangements.

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into binding contracts. You must not be prohibited from using the Services under applicable law (including sanctions or investment restrictions).

The Services are directed primarily at users in Africa (with pricing references in Nigerian Naira). Access from other jurisdictions is at your own risk and subject to local laws. We may restrict or refuse service to any user or jurisdiction at our discretion.

You must provide accurate, complete, and current information during registration and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized use.

We may require identity verification (KYC), source-of-funds information, or other compliance checks. Failure to complete verification may limit or suspend your account.

• Returns on palm oil holdings are market-driven with no fixed ROI, except where applicable.
• Farmland or supply-chain products may quote expected or historical return ranges (e.g., 12–25%); these are illustrative only and not guarantees.
• Past performance is not indicative of future results.
• Digital/Platform prices may fluctuate or differ from actual market price due to market conditions, different locations, logistics, and other cost implications.
• There may be no lock-in periods for certain holdings, but liquidity, redemption timing, fees, and market conditions may affect your ability to sell or withdraw at desired prices or times.
• Digital reserves represent claims on underlying assets; they are not an actual physical product availability guarantee, securities (unless expressly structured and registered as such), or insured bank products in the conventional sense.

PalmYield does not provide financial, investment, tax, or legal advice. You should consult independent professional advisers before investing. You acknowledge that you understand and accept these risks and are solely responsible for your investment decisions.

Purchases are made at the prices and terms displayed at the time of transaction. Payment methods accepted will be shown in the app/Site. Additional fees (transaction, storage, management, withdrawal, or network fees) may apply and will be disclosed.

Withdrawals/redemptions are subject to verification, processing times, available liquidity, minimums, and any applicable restrictions. We reserve the right to delay, limit, or refuse transactions for compliance, fraud-prevention, or operational reasons.

Upon successful purchase and allocation, you acquire a digital interest or claim corresponding to the purchased quantity of palm oil or related asset, subject to these Terms and any product-specific terms. Physical storage is handled by verified partners. PalmYield or its partners maintain records of holdings. Title, risk, insurance, and audit arrangements are as described on the platform. You DO NOT necessarily own or receive physical goods unless expressly offered and arranged.

You agree not to:

• Use the Services for any illegal purpose, money laundering, fraud, or sanctions evasion.
• Provide false information or attempt to circumvent KYC/AML controls.
• Interfere with the platform, reverse-engineer software, or introduce malware.
• Engage in market manipulation, wash trading, or abusive trading practices.
• Resell access or use the Services on behalf of others without authorization.
• Violate any applicable laws or third-party rights.

We may investigate and take action (including suspension or termination) for violations.

The Site, app, branding, content, software, data, and trademarks are owned by PalmYield or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without prior written consent.

The platform may integrate or link to third-party services, storage partners, insurers, payment processors, affiliates, or merchants. We are not responsible for their acts, omissions, terms, or content. Affiliate commissions and merchant arrangements are governed by separate program terms where applicable.

Our collection and use of personal data is governed by our Privacy Policy (available on the Site/app). By using the Services you consent to such processing.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OF PRICING/DATA, OR UNINTERRUPTED AVAILABILITY.

We do not warrant that the underlying assets will maintain value, that insurance will cover all losses, or that audits/storage will be free of issues.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PALMYIELD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICES OR ANY INVESTMENT DECISIONS.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR A NOMINAL AMOUNT IF NO FEES WERE PAID).

Some jurisdictions do not allow certain limitations; in those cases liability is limited to the fullest extent permitted.

You agree to indemnify, defend, and hold harmless PalmYield and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any rights.

We may suspend or terminate your access at any time for any reason, including violation of these Terms, inactivity, or regulatory requirements. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including risk acknowledgments, limitations of liability, indemnification, and governing law) will survive. Outstanding holdings will be handled according to platform rules and applicable law.

These Terms are governed by the laws of the Federal Republic of Nigeria (or the jurisdiction of PalmYield’s primary operating entity, as updated on the Site), without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved amicably. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration body in Nigeria (or as otherwise specified), seated in Lagos or another mutually agreed location. You waive any right to participate in class actions to the extent permitted by law. Courts in Nigeria shall have exclusive jurisdiction for interim relief or enforcement where arbitration is not available.

We may update these Terms at any time by posting the revised version on the Site/app and updating the “Last Updated” date. Continued use after changes constitutes acceptance. Material changes may be notified via email or in-app notice where practicable.

• These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and PalmYield.
• If any provision is held unenforceable, the remaining provisions remain in effect.
• Our failure to enforce any right is not a waiver.
• You may not assign these Terms without our consent; we may assign freely.
• Headings are for convenience only.
